Speaker Agreement

This Agreement dated is BETWEEN:  

1. Chartered Institute of Fundraising of Canopi, 82 Tanner Street, London, SE1 3GN, GB (“Chartered Institute”); AND  

2. [Participant details] (“Participant”)  

Event Name: [Event Name] (the “Event”)  

WHEREBY the Chartered Institute is inviting the Participant to speak at the Event subject to the following conditions and the Participant agrees to the conditions and accepts the invitation to speak at the Event.  

Participant Obligations  

a.  Speaker Declaration form  

The Chartered Institute does not permit speakers including panellists to take part in its Events without first completing a Speaker Declaration form.   

The Participant agrees that they either have submitted or will sign a valid Speaker Declaration form to be held with the Chartered Institute of Fundraising and where a new or renewal Speaker Declaration form is required, the Participant will return this declaration no later than the agreed timeline for return.  

b. Deadlines and duration  

The Participant agrees to abide by the deadlines provided by the event organiser. Involvement in the Event could be affected if deadlines are not met. Extenuating circumstances will be taken into account.  

c. On request, the Participant will provide the Chartered Institute with: 

no later than the date outlined by the event organiser. 

d. The Participant will abide by the Chartered Institute’s Code of Behaviour and will ensure that neither the title nor any of the content of their presentation contravenes this Code.  

e. The Participant will notify the Chartered Institute as soon as possible if they become aware that they are unable to attend the Event.  

Chartered Institute Obligations

a. All changes to timings and any other element of the Event or Presentation will be notified to the Participant. 

b. The Chartered Institute will ensure that the Participant is provided with the necessary equipment and information to enable them to participate in the Event.  

Agreement

The Participant agrees the Chartered Institute may film and/or record the Presentation. The resulting film, videotape, audiotape and/or photography, discussion and spoken word may contain the Participant’s name, information about the Participant, interviews with the Participant, as well as any other materials that the Participant submits to the Chartered Institute of Fundraising including PowerPoint presentations. Collectively film, videotape, audiotape, photography, discussion, spoken word, PowerPoint presentations and any written or aural submissions to the Presentation by the Participant are hereafter known as the “Materials”. If you have any questions regarding this clause relating to your particular session, feel free to contact events@ciof.org.uk. 
  
The Chartered Institute reserves the right to cease using filmed and/or recorded speaker content at any time.  

The Participant agrees the Chartered Institute may use the submitted Speaker Headshot and Biography to promote the event, for items such as Speaker Spotlights in promotional materials for the event. 

Licence

The Participant hereby grants to the Chartered Institute all rights throughout the world for a period of 2 years from the date of the Event to use the Materials for the Chartered Institute’s member resources, on demand content, in our marketing materials, in our information and guidance and to issue copies to delegates of live events. The Participant agrees that the Chartered Institute shall have the right to edit, modify or otherwise alter such reproduction at the Chartered Institute’s sole discretion including rebranding, adding audio to PowerPoint presentations so they are suitable for on-demand events so long as the content and essence of the Materials is not changed.  

Intellectual Property

The Participant owns the rights, title and interests in the Materials and the Chartered Institute owns the branding.  

The Participant agrees they will not use Chartered Institute branded Materials for the Participant’s own purposes. 

Waiver

The Participant holds harmless, releases and discharges the Chartered Institute and its employees from any and all claims, demands or causes of action that the Participant may now have or may have in the future arising out of or in connection with the rights granted herein, including without limitation, any claims for libel, defamation, invasions of privacy or right of publicity or infringement of copyright.  

Remuneration

The Participant understands that there is no remuneration of any kind in connection with the Materials or subsequent use, distribution, reproduction, performance, exchange of or display of any part of the Materials.  

Approval

The Participant understands that they will have no right to review or approve the Presentation and Materials prior to the completion or distribution thereof.  

Use of excerpts and quotes from the Presentation and Materials

From time to time the Chartered Institute may wish to use an excerpt, quote or still image from the Materials in audio, photographic still or written format to promote the Presentation, events, courses and qualifications and any other services offered by the Chartered Institute now or in the future. Save for On Demand events the Chartered Institute will not use an excerpt, quote or still image from the Materials in audio, video, photographic still, written format or other formats available now and in the future for promotional reasons without first seeking the written consent of the participant, such consent not to be unreasonably withheld.  

Third party information

The Participant agrees that during the course of making the Presentation, they have not violated the rights of any third parties, including but not limited to copyrights, rights of privacy, trade secrets, and non-disclosure agreements, and that in the event of any breach of any of these warranties, the Participant will defend and hold the Chartered Institute harmless and without indemnity against any such claims.  

Privacy Information

The Chartered Institute is the data controller of the Materials.  

The audio and or video may be published by Chartered Institute on their website and other media channels such as YouTube (using Chartered Institute’s own YouTube channel) or Spotify (privacy information for Buzzsprout – the platform used to load the Materials to and Spotify: Privacy policy - Spotify)  

The Materials are available to be viewed worldwide including in countries which may not offer the same data protections as the EU and UK.   

The Chartered Institute will keep and may use the Materials for so long as it believes the Materials are relevant and, in any case, no longer than 2 years from the date of the Event.  

The Participant understands that the Chartered Institute is using the Materials in express reliance upon the foregoing and the Participant represents and agrees that the Participant is free to grant the rights herein.
